With the rapid development of online business models, obtaining this license enables enterprises to comply with legal regulations, mitigate risks, and build trust with customers.

This article provides a detailed guide on the required documents and procedures for applying for an e-commerce business license, assisting enterprises in smoothly completing the registration process and ensuring seamless business operations.

Dossier and Procedures for Obtaining an E-Commerce Business License

Eligible Entities for Applying for an E-Commerce Business License

Organizations or enterprises engaged in e-commerce activities may apply for a license if they own and operate one of the following types of websites:

– E-commerce trading platforms: Providing an intermediary platform for buyers and sellers to conduct online transactions.

– Online promotion websites: Supporting enterprises in promoting products and services through promotional programs.

– Online auction websites: Allowing users to participate in bidding for products or services.

Forms of E-Commerce Activities

Pursuant to Article 35 of Decree No. 52/2013/ND-CP, the following forms of e-commerce organization are recognized:

E-Commerce Sales Websites

An e-commerce sales website is an e-commerce website established by merchants, organizations, or individuals to conduct commercial promotion, sell goods, or provide services of their own.

Eligible applicants include: Merchants, organizations, and individuals who have been assigned a personal income tax identification number.

 Websites Providing E-Commerce Services

An e-commerce service provider website is an e-commerce website established by a merchant or organization to provide an environment for other merchants, organizations, or individuals to conduct commercial activities.

Eligible applicants include: Merchants or organizations operating in the field of trade promotion or business support, possessing a website that provides e-commerce services.

Conditions for Obtaining a License for an E-Commerce Trading Platform

To be granted a license for an e-commerce trading platform, an enterprise must satisfy the following criteria:

– Possess valid legal entity status: Established in accordance with Vietnamese law and holding a valid business registration certificate.

– Develop an operational plan: Prepare a clear plan for implementing e-commerce services, including operational methods, transaction management, and user rights protection mechanisms.

– Register the website with the Ministry of Industry and Trade: The e-commerce service provider website must be duly registered and display the official verification logo of the Ministry of Industry and Trade.

Procedures and Steps for Applying for a License for an E-Commerce Trading Platform

Procedure for Registering an E-Commerce Sales Website

For e-commerce sales websites, the registration procedure with the Ministry of Industry and Trade shall be carried out as follows:

Step 1: Register an Account on the Management System

Access the website www.online.gov.vn to create an account and provide the following complete information:

Name of the merchant, organization, or individual

Business registration number (for merchants), establishment decision number (for organizations), or personal tax identification number (for individuals)

Business lines or scope of activities

Head office address (for merchants and organizations) or permanent residence address (for individuals)

Contact information: Telephone number, email, and fax (if any)

Step 2: Notify the Website to the Ministry of Industry and Trade

After successfully registering the account, log in to the system and submit the website notification in accordance with the prescribed form.

Within 03 working days, the Ministry of Industry and Trade will respond via email with one of the following outcomes:

Confirmation that the website has been fully and validly declared

Notice requiring amendment or supplementation of information if there are errors or missing data. In such cases, the applicant must make the necessary corrections and resubmit as instructed.

Procedure for Registering an E-Commerce Service Provider Website

Preparation of Dossier:

Application form for registration of an e-commerce service provider website (Form TMĐT-1).

Certified copy of the Establishment Decision (for organizations), or Business Registration Certificate, Investment Registration Certificate, or Investment License (for merchants).

Service provision plan as stipulated in Clause 3, Article 54 of Decree No. 52/2013/ND-CP.

Regulations on the management of operations of the e-commerce service provider website as prescribed in Point d, Clause 2, Article 55 of Decree No. 52/2013/ND-CP.

Sample service contract or cooperation agreement between the merchant/organization owning the website and the parties participating in the sale of goods or provision of services thereon.

General terms and conditions applicable to the purchase and sale of goods and provision of services on the website (if any).

Step 1: Register an Account on the System

The enterprise shall access the website www.online.gov.vn and register an account by providing the following information:

Enterprise name: Clearly and accurately stated as per the business registration certificate.

Business registration number: The enterprise registration number or operating license issued by the competent authority.

Business/activity sector: Specify the business lines, particularly those related to e-commerce.

Head office address: Provide the officially registered business address.

Contact information: Including telephone number, email, and details of the person in charge of registration.

After completing the information entry, the enterprise submits the account registration request for system processing.

Step 2: Account Registration Confirmation

Within 3 working days from the date of submission of the account registration request, the Ministry of Industry and Trade will review and respond via the registered email address. There are two possible outcomes:

Account approved: If the provided information is complete and valid, the enterprise will receive login credentials for the system and may proceed to the next steps.

Request for supplementation or rejection of registration: If the information is incomplete or invalid, the Ministry will issue a notice requiring amendment or supplementation. The enterprise must then restart the account registration process.

Step 3: Register the E-Commerce Service Provider Website

Upon receiving the login credentials, the enterprise shall proceed as follows:

Log in to the system using the granted account.

Select the function “Register e-commerce service provider website.”

Complete all required information in accordance with the online registration form.

Attach the necessary supporting documents, including:

Business Registration Certificate.

Information about the e-commerce website.

Other relevant documents as required by the Ministry of Industry and Trade.

After completing the declaration, the enterprise submits the dossier for review by the Ministry.

Step 4: Dossier Review Confirmation

Within 7 working days, the Ministry of Industry and Trade will review the dossier and respond via the enterprise’s registered email. There are two possible outcomes:

Dossier valid: If the dossier is complete and meets all requirements, the Ministry will confirm and instruct the enterprise on the next steps.

Dossier invalid or requiring supplementation: If the information is incomplete or contains errors, the enterprise will receive a notice requiring corrections or additional documents. The enterprise must then return to Step 3 to update and resubmit the dossier.

Note:

If the enterprise fails to respond within 30 working days from the date of receipt of the supplementation notice, the registration dossier will be canceled, and the enterprise must restart the registration process from the beginning.

Step 5: Submission of Hard-Copy Dossier

Upon receiving confirmation that the dossier is complete and valid, the enterprise must submit the hard-copy dossier to the Department of E-Commerce and Information Technology – Ministry of Industry and Trade.

The hard-copy dossier shall include:

All documents declared online through the system.

Other legal documents as required by the Ministry of Industry and Trade.

Note: The content of the hard-copy dossier must fully match the information declared online. Any discrepancies may result in a request for rectification by the Ministry.

After submission, the enterprise should monitor the processing status via email or the system account for updates as necessary.

Step 6: Receipt of Registration Confirmation Code

Upon successful completion of the process and approval, the Ministry of Industry and Trade will send a registration code via email. The enterprise shall:

Affix the confirmation code to the e-commerce service provider website.

The confirmation code will be displayed in the form of a registration badge.

When users click on the badge, they will be redirected to the E-Commerce Activity Management Portal, where the enterprise’s registration information is displayed.

Total Registration Completion Time

The registration process for establishing an e-commerce service provider website typically takes approximately 15–20 working days, including:

  • 3 days for review and issuance of the login account.
  • 7 days for examination of the registration dossier.

The time required for processing the hard-copy dossier and issuance of the confirmation code may vary depending on the specific case.
